Terms of Service

These Terms of Service ("Terms") govern your use of sweeperlabs.com (the "Site") and, when made available to you, the Sweeper platform and services (together, the "Services"), operated by Sweeper Labs, Inc. ("Sweeper," "we," "us"). By using the Site or Services, you agree to these Terms. If you do not agree, please do not use them.

1) About Sweeper and these Terms

Sweeper provides technology for identity verification, custody documentation, evidence, and payment facilitation in auto transport. Sweeper is a pre-launch company, and the product described here is being made available in stages. Nothing on the Site is an offer to sell, a binding commitment, or a guarantee that any feature will be delivered on any timeline. When the platform is made available to you, additional or superseding service terms may apply to your use of it.

2) Who these Terms cover — Dealers, Brokers, and Carriers

The Services are used by three types of business users, and these Terms apply to each of them and to their authorized personnel (including drivers):

Each user is responsible for its own conduct and for its transactions and disputes with other users. Each Broker and Carrier represents and warrants that the operating authority, insurance, and (for Brokers) surety bond information it submits to Sweeper is accurate and current, and agrees to promptly notify Sweeper of any change, lapse, or revocation.

3) Nature of the service; not a party to transactions

Sweeper provides tools and evidence. Sweeper is not a party to any transport, purchase, sale, or other arrangement between users. Any such arrangement is solely between those users, who are solely responsible for it and for enforcing their rights against one another. Users deal with one another at their own risk.

4) What Sweeper is not

Sweeper is not a motor carrier, freight broker, freight forwarder, dispatcher, transportation provider, insurer, bank, escrow agent, or money transmitter. Sweeper does not transport vehicles, arrange transportation as a broker, provide insurance, or take custody of funds. Any payment functionality is provided through a third-party payment processor as described in Section 5 (Payments).

5) Payments

When payment features are made available, Sweeper facilitates payments between users through Stripe. Dealers, brokers, and carriers who use these features must create and maintain a Stripe account and agree to Stripe's applicable terms, including the Stripe Services Agreement and, for those receiving funds, the Stripe Connected Account Agreement. You are responsible for the accuracy of the account and payout information you provide and for completing any identity verification Stripe requires to send or receive funds.

Funds are processed and held by Stripe, not by Sweeper, and are not held in a Sweeper-controlled bank account. Sweeper is not a bank, escrow agent, or money transmitter, and this is not an escrow service.

Additional fees may apply. Use of the payment features may be subject to additional fees — including payment-processing fees, instant-payout fees, platform fees, and other third-party charges — which will be disclosed at or before the time of the applicable transaction.

A linked Stripe account is required. To send or receive funds through Sweeper, you must have a linked and onboarded Stripe account. Instant payout — the option to receive funds to a debit card shortly after a delivery is verified — is available only to carriers and brokers who have completed Stripe onboarding and who meet applicable eligibility requirements (which may include a minimum number of completed deliveries and account tenure) and any required reserve. Parties without a linked, onboarded Stripe account cannot receive instant payout and will be paid by other means.

You are responsible for your own taxes. Stripe or the applicable authorities may issue tax forms (such as a 1099-K) to recipients of funds; Sweeper is not responsible for your tax obligations. Payment disputes, chargebacks, and refunds are handled as described in these Terms and the applicable service agreement, and a funding party's chargeback may reverse related transfers.

6) Verification is evidence, not a guarantee

Sweeper's identity checks, insurance checks, location and geofence features, and custody documentation are tools that assist users and generate evidence. They are designed to reduce risk. They do not guarantee that any user or carrier is legitimate, that any vehicle will be picked up, delivered, delivered on time, or delivered free of damage, loss, or theft, or that fraud, impersonation, double-brokering, or theft will be detected or prevented in any given case. You acknowledge that vehicle transport carries inherent risks — including theft, fraud, damage, and loss — that can occur despite verification, and that Sweeper is not liable for such events. Risk of loss remains with the transacting parties and their insurers.

7) Assumption of risk

You acknowledge and assume the inherent risks of auto transport. Sweeper is a producer of evidence and process, not a guarantor of any outcome, and does not insure against loss.

8) Acceptable use

You may use the Site and Services for lawful purposes only. You agree not to misuse them — for example, by attempting to disrupt them, gain unauthorized access, scrape them at scale, or use them to violate any law or the rights of others.

9) Intellectual property

The Site, the Services, and their content — including text, graphics, logos, the Sweeper name and mark, and design — are owned by Sweeper Labs, Inc. or its licensors and are protected by intellectual-property laws. We grant you no license except to use them for their intended purpose. You may not copy, reproduce, or reuse our content or marks without our written permission.

10) Forward-looking statements

This Site describes our product vision, including features that are planned or in development. Roadmap features are described as goals, not promises, and may change. We make no guarantee that any planned feature will ship as described, or at all.

11) Disclaimers

The Site and Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that they will be uninterrupted, error-free, or secure, or that any information is complete or current.

12) Indemnification

You agree to indemnify and hold harmless Sweeper Labs, Inc. and its officers, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or relating to your use of the Site or Services, your conduct, your transactions or disputes with other users, your vehicles, or your breach of these Terms or any law.

13) Limitation of liability

To the fullest extent permitted by law, Sweeper Labs, Inc. and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or relating to your use of the Site or Services. Our total liability for any claim relating to your use of the Site will not exceed one hundred U.S. dollars (US$100). Liability arising from your use of the paid platform, when made available, will be addressed in the applicable service agreement.

14) Dispute resolution; arbitration; class-action waiver

We will first try to resolve any dispute informally; please contact us and allow 60 days. If a dispute is not resolved, it will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted on an individual basis, with the seat of arbitration in Delaware. You and Sweeper waive any right to a jury trial and to participate in a class action. This arbitration agreement does not prevent either party from seeking injunctive relief in court for misuse of intellectual property or breach of confidentiality.

15) Force majeure

Sweeper is not liable for any failure or delay caused by events beyond its reasonable control, including acts of God, network or infrastructure failures, third-party service outages, labor disputes, or governmental action.

16) Changes

We may update these Terms as the Site, Services, and our business evolve. When we do, we will change the effective date above. Your continued use after changes take effect means you accept the revised Terms.

17) Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute not subject to arbitration will be brought in the state or federal courts located in Delaware.
